Marks and Banners Terms and Conditions

Member use of Latin Recording Academy artwork and online banners. LICENSE: The Latin Recording Academy hereby grants to Member the non-exclusive limited right and license to use the artwork and online banners incorporating the Latin GRAMMY marks, solely in the form they are presented, solely for the purposes of promoting the Latin Recording Academy on official websites and social media accounts of Member. Member may NOT sublicense, assign or transfer its right to use the artwork and online banners. LATIN GRAMMY Artwork / Online Banners: Member shall not modify or alter the artwork and online banners and each use of the artwork and online banners shall contain only the design, in its entirety, with no additional language and shall comply with this agreement and the usage rules and style guides that the Latin Recording Academy may provide to Member from time-to-time. REQUIRED MARKINGS: Member shall display in connection with each use of the artwork and online banners all markings and notices required by law or as requested by the Latin Recording Academy. OWNERSHIP OF MARKS: Member's use of the artwork and online banners shall inure exclusively to the benefit of the Latin Recording Academy. All rights of the Latin Recording Academy not expressly granted to Member herein are expressly reserved to the Latin Recording Academy. MISCELLANEOUS: This agreement contains the complete understanding of the parties. This agreement shall be governed by the laws of the State of California. Either party may earlier terminate if the other party materially breaches this agreement. Member shall not assign this agreement or any of its rights hereunder. This agreement may be executed in any number of counterparts. Member and the Latin Recording Academy accept the terms and conditions set forth in this agreement.
